1) Agreement

By accessing or using the VerrOps website and services, you agree to these Terms. If you do not agree, do not use the site or services.

2) Use of the Site

Use the site for legitimate business purposes and not in any unlawful manner. We may modify or discontinue the site at any time.

3) Services & Statements of Work

Specific deliverables, timelines, and fees are defined in an individual Statement of Work (“SOW”). If these Terms conflict with an SOW, the SOW controls for that engagement.

4) Appointments & Billing

Bookings are scheduled via our online calendar. Fees are due as stated in your invoice or SOW. Late or failed payments may pause service delivery.

5) Messaging & Compliance

We follow applicable rules (e.g., A2P 10DLC, TCPA). All automated messages include brand identification and STOP/HELP instructions. End-users may opt out at any time by replying “STOP”.

6) Confidentiality

Each party will keep the other’s non-public business information confidential, except as required by law.

7) Intellectual Property

Site content, frameworks, and materials are owned by VerrOps or its licensors and may not be copied or redistributed without permission. You own your data.

8) Warranties & Disclaimers

We provide services in a professional manner but do not guarantee specific outcomes. TO THE EXTENT PERMITTED BY LAW, SERVICES ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND.

9) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VERR-OPS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES. OUR TOTAL LIABILITY UNDER THESE TERMS IS LIMITED TO THE AMOUNTS PAID TO US IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

10) Indemnification

You agree to indemnify and hold VerrOps harmless from claims arising from your misuse of the site or violation of these Terms.

11) Governing Law

These Terms are governed by the laws of your state of business operation, without regard to conflict-of-law principles.

12) Changes

We may update these Terms from time to time. Changes are effective when posted with the updated date above.
